Abstract
The issues of pledge of shares are discussed, the definition of a pledge of shares in general is given, the reasons of formation of pledge of shares are considered, and the emphasis on problems of pledge of shares is made. The differences of the law of the Civil Code of the Russian Federation and interpretation plan for the implementation of corporate rights to joint-stock companies and limited liability companies are analysed. The examples from practice are given. Property and non-property rights are the essence of the shares, so all stock trades must be viewed from this position. The argument is confirmed by the practice of transactions when formal nature of the shares is the most important part of such transactions. On the basis of the research the most important meaning to perform speculative transactions is determined.

Залог акций представляется перспективным направлением деятельности с ценными бумагами по следующим основаниям: во-первых, в России с огромной скоростью формируется фондовый рынок со всеми последствиями; во-вторых, оформление залога акций нуждается в низких затратах и занимает мало времени (перечисленные факторы на практике имеют огромное значение); в-третьих, часто акции компаний - достаточно ликвидное имущество, при необходимости его можно быстро реализовать. Кроме того, акции - это имущество движимое, и для его реализации не обязательно решение суда (п. 2 ст. 349 Гражданского кодекса РФ) [1].×
